Welcome to the Eiuoo Website.

Please read these Eiuoo Website Rules (Website Rules) carefully as they apply to your use of, and conduct on the Eiuoo Website (Website), with special rules that apply to certain web pages (Pages) on the Website, such as the Chatroom and the Gaming Page.

1.                  General

(a)                To enter certain Pages on the Website, you first have to agree to comply with the Website Rules.

(b)                By clicking the 'Accept' button at the bottom of a Page, you agree to be bound by and comply with the Website Rules at all times that you access any Page on the Website.

(c)                We may change these Website Rules at any time.  Any changes will apply immediately once they are posted on the Noticeboard.

(d)                We recommend that you regularly check the Noticeboard from time-to-time for any changes to the Website Rules.

(e)                Your continued use of or accessing any Page in the Website is deemed to be acceptance of the amended Website Rules.

2.                  Availability of Website

(a)                Eiuoo reserves the right to withdraw the availability of the Website without notice.

3.                  Membership

(a)                To become a Member of the Eiuoo club, you must register as a Member on the Member Registration Page.

4.                  Password & access to restricted Pages/areas

(a)                During the Member registration process, you will be required to register a password. You may change your password at any time.

(b)                You are required to use this password each time you access the Members-only Pages of the Website.

(c)                Under no circumstances must you disclose your password to another person, or allow another person to use your password to gain access any Page or any other part of the Website at any time.

(d)                You must not allow or assist another person to obtain access to resources or information on the Website to which they are not authorised.

5.                  Personal Details -- updates and use

(a)                You must promptly update any information you are required to provide to us to use the Website or any related goods or services so as to keep it accurate, complete, current and not misleading.  We may use any such information for any purpose subject to our Privacy Policy

(b)                You must not tamper with other Member's Membership Records in any way, including attempting to thwart the Website system security, setting password traps, and any other behaviour designed to interfere with other users' access to the Website.

(c)                You must not use other Member's Membership Records, a false identity or another person's identity to gain access to any Page or any other part of the Website.

(d)                You must not fraudulently or otherwise misrepresent yourself to be another person, a representative of another person or us, or to have an affiliation with a person, entity or group.

(e)                You must not, without the express consent of us or the relevant Members, collect or use information, material or data about any Members (whether aggregated or otherwise) unless such collection or use is lawful, in accordance with these Rules and for a purpose related to the purpose for which the information was provided or made available and, in any event, not for a commercial purpose.

(f)                  You must not, without the express consent of Eiuoo or the relevant Members, collect or use information, material or data about any Members (whether aggregated or otherwise) unless such collection or use is lawful, in accordance with these Rules and for a purpose related to the purpose for which the information was provided or made available and, in any event, not for a commercial purpose.

6.                  Do not help others to access Members-only Pages

(a)                You must not assist persons who do not normally have access to a Members-only or otherwise restricted-access part of the Website to obtain such access.

7.                  Eiuoo Intellectual Property

(a)                Eiuoo owns the intellectual property, including copyright, in all content of the Website.

(b)                We are happy for you to link to the Website. It is your responsibility to maintain the currency of your links to the Website. We reserve the right to deny any person permission to link to the Website.

(c)                If you wish to reproduce any of our content, you must first request our permission. If we grant permission, you must give appropriate attribution to Eiuoo, the author and date of publication. Please contact support@eiuoo.com.

8.                  Uploaded Intellectual Property

(a)                You must ensure that any distribution or use of material provided to Eiuoo or the Website, or posted or sent to or through Eiuoo, or uploaded to the Eiuoo Website, by you does not infringe or cause the infringement of the intellectual property rights (including copyright or any other rights) of any person.

(b)                You agree to assign to Eiuoo, in perpetuity, all intellectual property rights (including copyright or any other rights) in all material that you upload to the Eiuoo Website so that Eiuoo may exploit those rights by any and all means whether now known or to be invented or devised in the future.

(c)                In relation to any assigned intellectual property (including copyright or any other rights) in which you have a moral right (or any other similar or analogous rights arising under any other law throughout the world), you waive all such moral rights and consent to Eiuoo doing any act which, but for this consent, would constitute an infringement of your moral rights.

(d)                You warrant that:

(i)                   the assigned intellectual property does not and will not contain any material in breach of any confidence or contract, or that infringes the rights of any other person, constitutes contempt of court or is or could be actionable for defamation or for the invasion of privacy of any person;

(ii)                 you have obtained a waiver of the moral rights (or any other similar or analogous rights arising under any other law throughout the world) and consent from any other person who has moral rights in the assigned intellectual property so  that Eiuoo is able to do any act which, but for such waiver and consent, would constitute an infringement of that person's moral rights.

(e)                  You indemnify and agree to keep Eiuoo indemnified against any loss, injury or damage (including any legal costs and expenses properly incurred) arising from any breach by you of any of the provisions of these Eiuoo Website Rules, including these warranties.

(f)                You will fully cooperate with Eiuoo in connection with any litigation taken by a third party against both you and Eiuoo. Without limiting Eiuoo's rights and your obligations under these Eiuoo Website Rules, Eiuoo may protect its rights and act (including taking legal action) in your name and Eiuoo's. You hereby appoint Eiuoo its lawful attorney to do all such acts.

9.                  Conduct on Website to be lawful

(a)                You must not use the Website to engage in any conduct related to Eiuoo or the Website that is unlawful, obscene, defamatory, vilifying, racist, harassing, abusive, tortious, unlawfully discriminatory, offensive, objectionable or inappropriate, or might cause harm of any kind to any person or property or which might encourage illegal activities (including by sending, uploading, providing links to or otherwise making material available through the Website).

(b)                You must not use the Website to breach any applicable laws or send, upload or link to any information or material that you are not legally entitled to (including confidential information of any person or information about minors that it is unlawful to disclose).

(c)                Subject to clause 9(d), you must not use the Website for the deliberate or negligent preparing, storing, displaying of racist, or other offensive material, or the deliberate receiving or transmitting of racist, or other offensive material.

(d)                In relation to any page on the Eiuoo Website that does not have age-restricted entry, you must not use that page for the deliberate or negligent preparing, storing, displaying of pornographic material or the deliberate receiving or transmitting of pornographic material.

(e)                You must not use the Website to harass or otherwise interfere with any person, for example, the sending of obscene, abusive, fraudulent, threatening or repetitive messages, as well as unsolicited email.

(f)                  You must not use the Website to stalk or harass other Users.

(g)                You must cease communicating with any User through Eiuoo or the Website upon that User's request, unless such communication is lawful and necessary to enforce your legal rights or comply with your legal obligations.

10.               Spam

(a)                You must not use the Website to send, upload or make available any material containing or associated with spam, junk mail, virus warnings (without first confirming the authenticity of the warning), or any other form of unauthorised advertising or promotional material.

11.               Interference with Website

(a)                You must not deliberately or negligently interfere with the operation or performance of the Website by:

(i)                   generating excessive load, use of storage capacity, network traffic, etc

(ii)                 physically damaging or adjusting the equipment. (Any such tampering, vandalism, theft or wilful and/or reckless damage may be referred to the police)

(iii)                introducing viruses or other software components designed to interfere with the normal operation of a system

(iv)                deleting, adding or modifying information relevant to the Website's operation

(v)                  obtaining extra resources, such as access to restricted Pages or other restricted parts of the Website without the relevant authorisation or Membership

(vi)                creating excessive network links

(vii)               circumventing, or attempting to circumvent security or obtaining or attempting to obtain information that would allow security to be circumvented

(viii)             using a resource not allocated or accessing material not permitted, whether by breaching security, using another's Membership Record or taking advantage of another person's negligence. This includes the use of resources in amounts or to a degree other than authorised

(ix)               Copying, disclosure of, transferring, deleting, examining, renaming, changing or adding to software, data or information belonging to Eiuoo or another person unless permission has been granted or the software, data or information is clearly intended to be public

(x)                 Activities that impact adversely on the Eiuoo's reputation

(b)                You must not disguise the origin of any material transmitted to or through Eiuoo or the Website (including by forging message or packet headers).

(c)                You must not use automated means to enter or download material from the Website (whether using computer software or otherwise).

12.               Security

(a)                Eiuoo wishes to maintain a secure, efficient computing and communications environment. It has the right to examine all computer files and to monitor computer usage to ensure compliance with these Rules.

(b)                If necessary, computer processes that are actively causing a problem will be terminated, or access to any files related to a breach of the Rules removed.

13.               Breach of Rules

(a)                If you breach any of the Rules, Eiuoo has absolute discretion on what action to take in response to your breach. Eiuoo may ban from entering the Page you were in at the time you committed the breach, or Eiuoo could ban you from every Page on the Website that requires your acceptance of the Website Rules before entry. In addition, Eiuoo may cancel your Membership without refund.

(b)                You must report any users or Member's breach of these Rules to the Eiuoo web administrator.

14.               Limited Liability

(a)                Eiuoo makes no warranties or representations about the Website or any of its content. We are not responsible to you or anyone else for any direct or consequential loss suffered in connection with the use of the Website. We exclude, to the extent permitted by law, any liability which may arise as a result of the Website. By using the Website, you agree to indemnify us for any loss or liability arising out of your use of the Website.

15.               Indemnity

(a)                You must indemnify us against all claims, loss or damage we suffer (including indirect and consequential loss or damage) as a result of your breach of these Rules.

16.               Governing Law

(a)                The Website and its use are governed by the laws of the State of New South Wales, Australia .
